Terms of Business
In the event of discrepancy between the English and Danish texts of these Terms of Business, the Danish text takes priority.
In general
1) The present Terms of Business apply unless otherwise agreed in writing between Scandinavian Language Service I/S and the purchaser of the service.
2) Scandinavian Language Service I/S undertakes to observe confidentiality regarding any information about the Client or the project unless such information is alreadyfreely accessible. Confidentiality continues to apply following completion of the project concerned.
Ordering and delivery
3) Scandinavian Language Service I/S translates documents exclusively on the basis of typed text received electronically or as a hard copy. Scandinavian LanguageService I/S will only be deemed to have accepted a project when the order confirmation setting out price and deadline has been submitted to the Client. The Clientundertakes to accept the submitted quote no later than two (2) working days after submission of the quote during office hours. Failing that, the quote will be deemed tohave lapsed.
4) Unless otherwise expressly agreed, the confirmed projects cannot be cancelled by the Client.
5) Unless otherwise expressly agreed at the commencement of the project, delivery of services provided by Scandinavian Language Service I/S will take placeelectronically or in hard copy with the latter being sent by standard post.
Payment
6) All prices for services provided by Scandinavian Language Service I/S are stated in DKK or EUR and are exclusive of VAT. The invoiced amount inclusive of VAT mustbe transferred to the account indicated on the invoice within 10 days.
7) Unless otherwise agreed, Scandinavian Language Service I/S charges a minimum fee of DKK 200 for each project.
8) The price for translation is based on the text submitted by the Client. Proofreading and text generation are charged at an hourly rate. Unless otherwise agreed, thehourly rate will be DKK 700. Hours are calculated as every half hour or part thereof.
9) Scandinavian Language Service I/S may require payment of a deposit proportionate to the size of the project concerned. If a deposit is required, the Client will onrequest receive a separate invoice for such deposit.
10) For larger projects that may comprise several sub-projects Scandinavian Language Service I/S may invoice the Client on an interim basis with payments to be made inaccordance with Section 8.
11) Payments must be made 10 days after the invoice date. Should this time limit be exceeded, interest may be charged in accordance with the current provisions of theDanish Interest Act. The Client pays all transaction costs, including fees to public authorities and other expenses.
Copyright
12) Unless otherwise agreed in writing, the Client acquires all rights to the translated text.
Liability
13) Scandinavian Language Service I/S cannot be held liable for the Client’s own corrections or additions to the material translated by Scandinavian Language Service I/S.Scandinavian Language Service I/S likewise cannot be held liable for errors and omissions in the original text from which the translated text is produced.
14) Scandinavian Language Service I/S’s liability will in any event be limited to the price of the project and the invoiced amount for the project concerned. No compensationwill be paid for indirect loss, including, but not limited to, operating loss, loss of profit, loss of earnings, goodwill, image, etc., irrespective of whether such loss arises fromthe delay to or error in the delivered product. Scandinavian Language Service I/S likewise cannot be held liable for any error made by its subcontractors.
The current provisions contained in Danish law for product liability apply. Insofar as otherwise prescribed by overriding rules of law, Scandinavian Language Service I/Scannot be held liable for operating loss, loss of profit or other indirect loss.
15) The following circumstances constitute exemption from liability for Scandinavian Language Service I/S, if they prevent the fulfilment of the contract or make suchfulfilment unreasonably onerous: Industrial dispute and any other circumstances over which the parties have no control such as fire, war, mobilisation or other equivalentand unforeseen military call-up, requisitioning, confiscation, currency restrictions, revolt and unrest, lack of means of transport, general scarcity of goods, restriction ofpower and errors in or delay to supplies from subcontractors which are caused by any of the above circumstances.
Scandinavian Language Service I/S is responsible for notifying the Client, should any of the above circumstances occur.
16) Unless otherwise agreed in writing at the commencement of the contract, Scandinavian Language Service I/S cannot be held responsible for ensuring that the projectconcerned is permitted or suitable for the purpose determined by the Client. In particular, Scandinavian Language Service I/S provides no guarantee for the use andvalidity of the translation either in Denmark or abroad, including, but not limited to, legal texts.
17) Translated texts must immediately subsequent to receipt and prior to use involving a third party by the Client and at the Client’s expense be checked for completenessand correctness in such a way as good business practice may require.
Translated texts pertaining to personal safety must immediately and without undue delay subsequent to receipt and prior to use involving a third party by the Client and atthe Client’s expense likewise be checked for correctness by qualified professionals who master the language. Texts of a legal nature must likewise be checked for theirlegal usability by a qualified lawyer or legal expert. Should the Client be unable to carry out such verification, Scandinavian Language Service I/S must be notified of this inorder to take suitable action by having the safety aspects in the text checked and verified. Should such a verification entail costs, these will be passed on to the Client, asScandinavian Language Service I/S can never be held liable for costs directly associated with the Client’s own in ability to carry out such verification of the translated text.
Complaints
18) Scandinavian Language Service I/S is responsible for the correct completion of projects without significant error or omission. Errors caused by the actions ofScandinavian Language Service I/S will be corrected free of charge. The Client must determine a reasonable time limit within which Scandinavian Language Service I/Smust remedy such errors.
19) Scandinavian Language Service I/S must be notified immediately in writing of obvious errors in the project carried out by Scandinavian Language Service I/S. Thesame applies to errors and omissions which are not immediately obvious.
20) Should the errors contained in the project completed by Scandinavian Language Service I/S be due to the Client’s failure to assist in the provision of information, etc.during the project, the Client will forfeit his/her right to remedy of such errors.
21) Projects carried out by Scandinavian Language Service I/S are deemed to have been correctly completed and to be without error if no complaint is received from theClient. This likewise applies if no complaint is received from the Client within 14 days after submission of the project completed by Scandinavian Language Service I/S.
22) Should the Client fail to make a complaint, the project will be deemed to have been carried out completely and correctly.
23) The services provided by Scandinavian Language Service I/S are in all aspects subject to Danish law and any disputes may only be brought before a Danish court.Should the Client be resident in Germany, the services provided by Scandinavian Language Service I/S will in every aspect be subject to German law. Should disputesarise between Scandinavian Language Service I/S and the Client resident in Germany, such dispute may only be brought before a German court.
